Executive Management Committee

The Verallia Executive Committee, which is focused on operations, is composed of members in charge of Group functions and members in charge of Business Operations with heads of key regions. The Committee is focused primarily on driving and implementing the Group’s strategy, monitoring performance and coordinating projects in the different countries and regions of the Group.

Michel Giannuzzi - Chairman and Chief Executive Officer

Michel Giannuzzi has been Chairman and Chief Executive Officer of Verallia since September 2017. Following the development and implementation of a compelling value creation strategy, he successfully led Verallia’s Initial Public Offering and listing on the Paris Euronext stock exchange market in October 2019. Previously, he served as Chief Executive Officer of Tarkett, a worldwide leader in innovative flooring and sports surface solutions, from 2007 to 2017. During his tenure, he pursued a strategy of profitable and sustainable growth, leading to Tarkett’s listing on the Paris Euronext stock exchange market in 2013. Prior to that, Michel held several senior executive positions within the Michelin and Valeo groups. He graduated from Ecole Polytechnique and Harvard Business School.

Didier Fontaine - Chief Financial Officer

Didier Fontaine has been Chief Financial Officer of Verallia since February 2018. Since the end of 2016, he had been Chief Administrative and Financial Officer and member of the Management Board of Zodiac Aerospace. From 2012 to 2016, Didier served as Chief Administrative and Financial Officer of Constellium, where he led its initial public offering on the New York and Paris stock exchanges in mid-2013. Prior to that, Didier was Executive Vice President, Administration and Finance, of Plastic Omnium, Chief Administrative and Financial Officer of Inergy Automotive and Faurecia Echappement. Didier began his career in finance in Canada and Brazil before joining Schlumberger in 1995 where he held various financial positions. Didier graduated from Sciences Po Paris and holds a Master’s degree in Econometrics from the University of Lyon.

Olivier Rousseau - General Manager of Verallia France

Olivier Rousseau was appointed General Manager of Verallia France in June 2018. Before joining Verallia, he was notably in charge of Goodyear’s automotive and motorcycle business for the EMEA region. Olivier has spent more than 20 years in the tire industry and has held the position of General Manager in many countries in the EMEA region. Throughout his career, he focused in particular on business growth and the operational efficiency of the divisions he headed. Olivier graduated from the University of Paris Dauphine.

Marco Ravasi - General Manager of Verallia Italia

Marco Ravasi has been General Manager of Verallia Italia since January 2015 and has more than 20 years of industrial experience, including 12 years in the glass industry. He previously held numerous positions at Saint-Gobain, including General Manager of Saint-Gobain Glass (flat glass) in Italy, General Manager of Saint-Gobain Sekurit Italia (automotive glazing) and General Manager of SEPR (Saint-Gobain’s ceramic division) in Italy, as well as technical and R&D positions. He holds a degree in chemical engineering from Politecnico di Milano.

Paulo Pinto - General Manager of Verallia Iberia

Paulo Pinto has been General Manager of Verallia in Iberia (Spain and Portugal) since October 2015. During his 27 years at Verallia, he held various positions, including General Manager Portugal. Before joining Verallia, he worked in an industrial brewery (now part of the Heineken group) and for Toyota. He is a graduate of the Instituto Português de Administraçao de Marketing (IPAM) and holds a post-graduate degree in Management from the Porto Business School (EGP).

Quintin Testa Dominguez - General Manager of Verallia Latin America

Quintin Testa Dominguez was appointed General Manager of Verallia in Latin America in September 2018. Previously, he served as Vice President of Valeo’s Powertrain Transmission division since 2015, and, before that, as Quality and Project Management Director in the same group. Prior to that, he joined Nemak in operations management in Mexico. Quintin began his professional career as General Manager of Quality Assurance at Nissan in Mexico. Quintin graduated as a mechanical engineer from Monterrey Tech in Mexico and holds a Master’s degree in quality and productivity.

Hugues Denissel - General Manager of Verallia Northern and Eastern Europe

Hugues Denissel has been General Manager of Verallia in Northern and Eastern Europe (Germany, Russia, Poland and Ukraine) since 2016. Prior to that, he was General Manager of Verallia in Latin America since 2014. He has 24 years of experience and has held numerous positions in the glass industry, including Senior Vice President Industrial and Engineering of Verallia in North America, General Manager of Saint-Gobain Glass (flat glass) in Poland and various other technical positions. He holds an engineering degree from the Ecole Nationale Supérieure des Arts et Métiers.

Denis Michel - General Secretary

Denis Michel has been General Secretary of Verallia since October 2013. He worked in particular on the divestment of the company from Saint-Gobain group. He spent most of his career at Saint-Gobain in business development positions in Latin America, the Middle East and Africa, and then in senior management positions in China and France. Denis began his career in the French Navy.

Alice Mouty - Legal Director

Alice Mouty has been Legal Director of Verallia since the early 1990s. She is also in charge of managing the Group’s insurance policies. She participated in particular in the sale by Saint-Gobain Group of the entities belonging to Verallia Group in 2015, the sale of Verallia North America in 2014, the contemplated initial public offering in 2011, and the sale of Saint-Gobain Desjonquères in 2007 (the flasks business of Saint-Gobain’s packaging division), the sale of Saint-Gobain’s Verreries (the glassware business of the same division) and in various acquisitions in the Ukraine, Poland, Russia, Argentina and Chile in the early 2000s, as well as in the acquisitions of the Group’s main European entities. Alice graduated from the law faculties of the Clermont-Ferrand and Nancy universities.

The Board of Directors has 12 members and brings together individuals with complementary professional backgrounds and skills.

Robert Seminara (member representing Apollo)

Robert Seminara, born in 1972, holds a degree in economics from the University of Pennsylvania’s Wharton School of Business. From 1994 to 1996, he worked as a financial analyst in the Media & Communications division of Lazard Frères & Co. In 1996, he was appointed Vice-President of Private Equity at Evercore Partners, where he remained until 2003. In the same year, he joined Apollo as partner in the Private Equity department. Since 2012, he has been senior partner in the Private Equity department at Apollo Management International LLP. In addition, he has been Head of Europe and Head of European Private Equity at Apollo Management International LLP since 2018.

Claudia Scarico (member representing Apollo)

Claudia Scarico, born in 1987, holds a master’s degree in finance from the University of Bocconi in Italy. Claudia Scarico began her career as an analyst with Morgan Stanley, a position she held from 2011 until 2014. Since 2014, she has been Principal at Apollo Management International LLP.

Pierre Vareille (member representing Apollo)

Pierre Vareille, born in 1957, is a graduate of the École Centrale de Paris and a former student at the Université de la Sorbonne. He has held several positions as Chief Executive Officer with international corporations, including Wagon Automotive, the British automobile equipment manufacturer, and FCI, one the world’s leading suppliers of electronic connectors. Pierre Vareille served as Chief Executive Officer of Constellium until July 2016. Mr. Vareille is Chairman of the Board of Directors of the Bic company and a member of the Board of Outokumpu Oyj in Finland. He is also co-founder of The Vareille Foundation, an Interntional foundation of recognised public interest.

Brasil Warrant Administração de Bens e Empresas S.A. (BWSA), represented by João Salles (Independent member)

João Salles, born in 1981, holds a B.A. in Economics from INSPER, an M.A in Economics and an M.S. in Finance both from Columbia University in New York, and a Ph.D. in Economics from the University of São Paulo. Mr. Salles has been a Managing Director at BWSA, a holding company, and a member of the Investment, Risk and Management Committees of BWGI, an asset manager, since 2017. Mr. Salles currently holds positions as Board Member of Itaú Unibanco, of IUPAR (which controls Itaú Unibanco), and also member of the Finance Committee of Alpargatas. Between 2013 and 2018, Mr. Salles was a Partner, Investment Professional and member of Cambuhy Investimentos’ Investment Committee. Prior to that, he worked in M&A Investment Banking at J.P. Morgan, based in New York.

Bpifrance Participations represented by Sébastien Moynot

Sébastien Moynot, born in 1972, is an alumnus of the École Normale Supérieure in Paris. He holds a postgraduate degree in probability and is a mathematician. He is also a graduate of the École Nationale de la Statistique et de l’Administration Économique. Since 2013, he has been a member of the Capital Development Steering Committee at Bpifrance Investissement, where he is in charge of equity investments in midcaps and large corporates. He joined the Fonds Stratégique d’Investissement when it was created in 2009, as Head of Investment. Previously, Sébastien Moynot spent around 10 years working in various roles at the Ministry of Finance Treasury Department. He was notably in charge of the transport sector at the Agence des Participations de l’Etat, and was previously Head of Strategy and then Market Operations at the Agence France Trésor.

Marie-José Donsion (Independent member)

Marie-José Donsion, born in 1974, former student of the ESCP (European school of management), has been Arkema’s Chief Financial Officer since June 2018. She was also a director of the Group and chaired its audit committee until May 2018. Previously, Marie-José Donsion was with the Alstom Group, where she held various positions in the Finance Department in France and abroad, before taking up the position of Group Chief Financial Officer. Prior to joining Alstom, Marie-José Donsion started her career with Coopers & Lybrand in the audit branch between 1994 and 1997.

Cécile Tandeau de Marsac (Independent member)

Cécile Tandeau de Marsac, born in 1963, former student of NEOMA Business School with a masters’ degree in Economy, has been an independent director of the Sodexo Group since 2016, and chairs its Compensation Committee. From 2012 to 2019 she has been Solvay’s Group General Manager, Human Resources in Belgium. From 2011 to 2012, she led the integration of the Rhodia and Solvay groups. She previously held various positions in Rhodia’s Human Resources Department from 2007 to 2011. Previously, Cécile Tandeau de Marsac was with Nestlé, where she held various positions from 1987 to 2006 in marketing, sales, communication and human resources. 

Virginie Helias (Independent member)

Virginie Hélias, born in 1965, former student of HEC Paris (Hautes Etudes Commerciales), is Vice President Global Sustainability in the Procter & Gamble Group since 2016. She sits on the Group Executive Committee since January 2020. Virginie Hélias began her career in 1988 in the same group, where she held various positions in France, the United States and Switzerland in marketing, brand management, sales, innovation and digital, before taking over as Global Sustainability Director in 2012.

José Arozamena (Independent member)

José Arozamena, born in 1960, an industrial and systems engineer graduated from the University of Los Angeles, California, founded Cambium in 1996, a family investment vehicle that has invested in various companies in the United States, Europe and Latin America. Mr. Arozamena is also a director of Arglass Yamamura. Between 2005 and 2008, José Arozamena was an operational partner of funds III and IV of the Lehman Brothers merchant bank. From 2003 to 2005, he led investments in American Rice and Mineraqua-Agua Castello. From 1995 to 2003, José Arozamena was Chairman and Chief Executive Officer of Alpha Private Equity Group, a private investment vehicle.

Dieter Müller (Employee representative)

Dieter Müller, born in 1958, has worked for Verallia Deutschland since 1988 where he began his career as a mold shop operator. He is a member of the IGBCE industrial union. In 1993, Dieter Müller was elected as a member of the Essen plant’s works council, becoming its Secretary in 1996. In 2010, Dieter Müller was elected Secretary of Verallia Deutschland’s general works council. Since 2017, he has also sat on Verallia’s European Works Council, elected as Deputy Secretary. Dieter Müller has also been a member of the Supervisory Board of Verallia Deutschland for about 20 years, acting as Deputy Chairman for the last 10 years.

Sylvain Artigau (Employee representative)

Sylvain Artigau, born in 1972, has worked since 1997 in the shipments department of VOA – Verrerie d’Albi, a subsidiary of Verallia France. He is a member of the CGT trade union and has carried out numerous missions as employee representative within VOA. He was notably union delegate from 2004 to 2016. From 2017 to 2019, Sylvain Artigau was seconded to Tarn’s departmental federation of CGT unions where he carried out the mission of secretary general. He resigned from all these mandates when he was elected by the employees of the entities of the Group that are incorporated in France. He rejoined VOA’s shipments department in January 2020 where he has been working ever since.

Fabrice Nottin - Observer

Fabrice Nottin, born in 1978, holds a degree in finance and strategy from the École supérieure des sciences économiques et commerciales (ESSEC) in Paris. Prior to joining Apollo, Fabrice Nottin was a senior partner at Lion Capital LLP from 2005 to 2011. Since 2011, he has been a partner at Apollo Management International LLP.

Guilherme Bottura - Observer

Guilherme Bottura, born in 1979, holds a bachelor’s degree in Production Engineering from the Escola Politécnica da Universidade de São Paulo. Mr. Bottura has been a Managing Director BWGI, the global asset management arm of BWSA, and a member of the Investment, Risk and Management Committees of BWGI since 2018. Mr. Bottura currently holds positions as Board Member, member of the Finance and Statutory Audit committees of Eneva SA, member of the Finance committee of Alpargatas SA and member of the Audit Committee of Fundo Patrimonial Amigos da Poli, an endowment fund affiliated to Escola Politécnica da Universidade de São Paulo. Between 2011 and 2018, Mr. Bottura was a Partner and member of Cambuhy Investimentos’ Investment Committee. Prior to that, he was a Portfolio Manager at Lanx Capital from 2009 to 2011 and Vice-President at Goldman Sachs between 2005 and 2009.


Committees of the Board of Directors

The Board has established three committees: the Audit Committee, the Appointments and Compensation Committee and the Sustainable Development Committee.

  1. Audit Committee
    • The Audit Committee has the task of overseeing matters pertaining to the preparation and control of accounting and financial information and the effectiveness of the operational risk monitoring and internal control system. Where appropriate, it makes recommendations to ensure the integrity of the system in order to enable the Board of Directors to carry out the relevant monitoring and investigations.
    • The Audit Committee is composed of Marie-José Donsion (Chairwoman), Claudia Scarico and José Arozamena
  2. Appointments and Compensation Committee
    • The Appointments and Compensation Committee is a specialised Board committee whose main duties are to assist the Board in (i) appointing members of the governing bodies of the Company and Group, and (ii) calculating and regularly reviewing the compensation and benefits of the Company’s executive officers, including any deferred benefits and/or benefits arising upon voluntary or involuntary departure from the Group.
    • The Appointments and Compensation Committee is composed of Cécile Tandeau de Marsac (Chairwoman), Pierre Vareille, BWSA (represented by João Salles) and José Arozamena.
  3. Sustainable Development Committee
    • The role of the Sustainable Development Committee is to monitor environmental and social issues.
    • The Sustainable Development Committee is composed of Virginie Hélias (Chairwoman), Michel Giannuzzi, Bpifrance Investissements (represented by Sébastien Moynot) and the two employee representatives sitting on the Board of Directors, M. Dieter Müller and Sylvain Artigau.
